Palo Alto Networks is in talks to buy Clutch for $500 million

The price is about 50 times the yearly income of Clutch, a person who knows the talks reports.

Palo Alto Networks, a company from the US, is in talks to buy Clutch Security for $500 million in cash, plus payments for milestones. A person who knows the talks reports this. Clutch started three years ago. It controls the access of AI agents to company systems. The agents are software that does tasks with no person. The deal is not complete. Palo Alto Networks and Clutch gave no comment.

What is new

Palo Alto Networks has a history of buying new technology and not building it. If this deal closes, it is the seventh purchase of the company this year, reports PitchBook, a data company. In September, it got Console, which uses AI agents to do help desk tasks, for $500 million.

The numbers

Clutch had a value of $85 million in January 2025. It has near $10 million in annual recurring revenue, which is income that repeats each year. The price is about 50 times that number. Upwind refused an offer from DataDog at about 40 times. Cyera got Oasis Security, a rival of Clutch, for $1 billion.

What is not known

Only one person, who has no name in the report, is the source. The terms of the milestone payments are not known. Palo Alto Networks and Clutch gave no comment.

Insight: Agent access is the thing that cyber firms now buy

Palo Alto Networks reports in October that AI agents are an insider risk, and it gave no test results. At this time it is in talks to buy a company that controls agent access. Cyera and Cisco got two rivals of Clutch. This reads as a race to have the control point for agent access before buyers pick a vendor. Prices of 40 to 50 times revenue show that sellers hold the edge.
